CORPORATE, BUSINESS, SECURITIES AND TAX
We work closely with our clients on all aspects of business, and counsel them on business structure, business formation, equity and debt funding (mergers, sales and acquisitions), tax, and general business matters. We regularly propose, structure and document mergers, acquisitions, dispositions, reorganizations and private placements of securities for technology, real estate, manufacturing and other types of businesses, and counsel and assist clients on various aspects relating to general business matters including labor, business, tax and contract matters.
ESTATE PLANNING AND PROBATE
Whether we are working with individuals or advising family businesses, we advise and assist clients in planning for wealth transfer events, including income, gift, estate and generation-skipping transfer tax implications. We prepare, structure and provide estate planning documents including, without limitation, wills, trusts, durable powers of attorney, healthcare powers of attorney, directives to physicians, and HIPAA authorizations. We also handle and assist clients with probate matters.
LENDING
The Firm has significant experience in representing lending institutions and borrowers in a wide variety of financing transactions, including structuring, negotiating and documenting acquisition, development, construction, mezzanine, revolving and permanent loans, as well as loan work-outs and loan restructuring.
